Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Quigglys LLC, a Texas limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the GroceryShop.ai website, browser companion extension, application programming interfaces, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

GroceryShop.ai is an AI-powered grocery shopping assistant that provides meal planning, price comparison, digital coupon discovery, cashback identification, and customer-controlled retailer handoff tools. The Service operates within your existing signed-in retailer account(s) through a browser companion extension. The Service does not place orders, complete checkout, process payments, or make purchases on your behalf. All retailer transactions, including cart modifications, coupon activations, and checkout, require your explicit review and approval before execution.

You must be at least 18 years of age and capable of forming a binding contract under applicable law. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a household, you represent that you have authority to bind that household to these Terms.

You must create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are responsible for all activity under your account. You must notify us immediately at support@groceryshop.ai if you suspect unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

The Service connects to your own signed-in retailer accounts (e.g., Kroger) through the browser companion extension. You grant the Service permission to read product catalog data, pricing, availability, and digital offer information from your retailer account for the purpose of providing shopping assistance. No cart modification, coupon clipping, or cashback activation occurs without your explicit, per-action approval. You are solely responsible for maintaining your retailer account credentials and compliance with each retailer's terms of service. The Company is not a party to any transaction between you and any retailer.

The browser companion extension operates only on retailer domains you have explicitly selected within a shopping trip. The extension: (a) never collects, stores, or transmits retailer passwords, one-time codes, CAPTCHA responses, payment credentials, or financial account information; (b) automatically pauses on login, multi-factor authentication, checkout, and payment pages; (c) uses short-lived session-scoped pairing grants that expire automatically; and (d) does not run in the background when not actively paired to a shopping trip.

The Service offers free and paid subscription tiers. Paid subscriptions are billed through Stripe, Inc. ("Stripe") on a recurring basis. By subscribing to a paid plan, you authorize Stripe to charge the payment method on file at the applicable rate. Subscription fees are stated in U.S. dollars and are non-refundable except as provided in our Cancellation and Refund Policy. We reserve the right to modify pricing upon 30 days' written notice; continued use after the effective date constitutes acceptance. Retailer grocery purchases are separate transactions between you and the retailer and are not processed by or through the Company.

You agree not to: (a) use the Service to bypass retailer security controls, defeat CAPTCHA or multi-factor authentication, or circumvent access restrictions; (b) access another person's retailer or GroceryShop.ai account without authorization; (c) scrape, harvest, or collect data in violation of retailer terms of service or applicable law; (d) use the Service for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation; (e) reverse engineer, decompile, or disassemble the Service; (f) interfere with or disrupt the integrity or performance of the Service; or (g) attempt to gain unauthorized access to the Service or its related systems. We may suspend or terminate your access for violation of this section without prior notice.

The Service, including all software, algorithms, designs, text, graphics, and other content, is the property of Quigglys LLC or its licensors and is protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial household grocery shopping purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The Service uses artificial intelligence to generate shopping recommendations, savings estimates, and product suggestions. AI-generated content is provided for informational purposes only and may contain errors. Savings estimates (including found, activated, pending, and realized savings) are reported separately and are not guaranteed. Actual savings depend on retailer pricing, coupon eligibility, stacking rules, and conditions confirmed at checkout. Cashback and manufacturer coupon values are subject to provider terms and may change without notice. You should verify all information before completing any purchase.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QUIGGLYS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING AI-GENERATED RECOMMENDATIONS AND SAVINGS ESTIMATES. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUIGGLYS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING RETAILERS; (C) ANY AI-GENERATED CONTENT OR RECOMMENDATIONS; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT; OR (E) ANY RETAILER TRANSACTION, PRICING ERROR, OR FULFILLMENT ISSUE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Quigglys LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including retailer terms of service; or (d) your negligent or wrongful conduct.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction and venue of such courts. You waive any objection to venue or jurisdiction. YOU AND QUIGGLYS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Service with a revised "Last updated" date and, where required, by email notification to the address associated with your account. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 9 through 14 shall survive any termination of these Terms. You may terminate your account at any time by contacting support@groceryshop.ai or through account settings.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

These Terms, together with the Privacy Policy and Cancellation and Refund Policy, constitute the entire agreement between you and Quigglys LLC with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
